The Board of Directors of IMS Spółka Akcyjna with its registered office in Warsaw (“Company”) informs that in the period from 07.10.2019 to 11.10.2019 the Company acquired, through OPERA Dom Maklerski Sp. z o.o., 8,486 (eight thousand four hundred eighty six) own shares at the average unit price of PLN 3.64. The total acquisition price, including the cost of acquisition, amounted to PLN 31,012.08. The shares were acquired under Tranche 8 of the Company Own Shares Buy-back Program.

In line with information submitted by OPERA Dom Maklerski Sp. z o.o.:

  • on 07.10.2019, 1,386 IMS S.A. shares were acquired constituting 0.0043% share in the share capital of the Company and 0.0043% votes in the General Shareholder Meeting. The average unit acquisition price was PLN 3.63;
  • on 08.10.2019, 1,750 IMS S.A. shares were acquired constituting 0.0054% share in the share capital of the Company and 0.0054% votes in the General Shareholder Meeting. The average unit acquisition price was PLN 3.66;
  • on 09.10.2019, 1,800 IMS S.A. shares were acquired constituting 0.0056% share in the share capital of the Company and 0.0056% votes in the General Shareholder Meeting. The average unit acquisition price was PLN 3.64;
  • on 10.10.2019, 1,750 IMS S.A. shares were acquired constituting 0.0054% share in the share capital of the Company and 0.0054% votes in the General Shareholder Meeting. The average unit acquisition price was PLN 3.64;
  • on 11.10.2019, 1,800 IMS S.A. shares were acquired constituting 0.0056% share in the share capital of the Company and 0.0056% votes in the General Shareholder Meeting. The average unit acquisition price was PLN 3.64.

The detailed list of transactions conducted in the period from 07.10.2019 to 11.10.2019 is included in the attachment to this report.

The nominal value of one share is PLN 0.02, and the total nominal value of shares acquired on the dates mentioned above was PLN 169.72. The acquired block of shares constitutes 0.0262% of the Company’s share capital and gives 8,486 votes constituting 0.0262% votes in the General Shareholder Meeting of the Company.

At present the Company holds in total 206,636 own shares, constituting 0.64% of the Company’s share capital and giving 206,636 votes constituting 0.64% of votes in the General Shareholder Meeting of the Company.

The Board of Directors of IMS Spółka Akcyjna with its registered office in Warsaw (“Company”) informs that in the period from 30.09.2019 to 04.10.2019 the Company acquired, through OPERA Dom Maklerski Sp. z o.o., 7,250 (seven thousand two hundred fifty) own shares at the average unit price of PLN 3.70. The total acquisition price, including the cost of acquisition, amounted to PLN 26,913.01. The shares were acquired under Tranche 8 of the Company Own Shares Buy-back Program.

In line with information submitted by OPERA Dom Maklerski Sp. z o.o.:

  • on 30.09.2019, 1,000 IMS S.A. shares were acquired constituting 0.0031% share in the share capital of the Company and 0.0031% votes in the General Shareholder Meeting. The average unit acquisition price was PLN 3.70;
  • on 01.10.2019, 1,500 IMS S.A. shares were acquired constituting 0.0046% share in the share capital of the Company and 0.0046% votes in the General Shareholder Meeting. The average unit acquisition price was PLN 3.81;
  • on 02.10.2019, 1,600 IMS S.A. shares were acquired constituting 0.0049% share in the share capital of the Company and 0.0049% votes in the General Shareholder Meeting. The average unit acquisition price was PLN 3.73;
  • on 03.10.2019, 1,700 IMS S.A. shares were acquired constituting 0.0053% share in the share capital of the Company and 0.0053% votes in the General Shareholder Meeting. The average unit acquisition price was PLN 3.66;
  • on 04.10.2019, 1,450 IMS S.A. shares were acquired constituting 0.0045% share in the share capital of the Company and 0.0045% votes in the General Shareholder Meeting. The average unit acquisition price was PLN 3.60.

The nominal value of one share is PLN 0.02, and the total nominal value of shares acquired on the dates mentioned above was PLN 145.00. The acquired block of shares constitutes 0.0224% of the Company’s share capital and gives 7,250 votes constituting 0.0224% votes in the General Shareholder Meeting of the Company.

At present the Company holds in total 198,150 own shares, constituting 0.61% of the Company’s share capital and giving 198,150 votes constituting 0.61% of votes in the General Shareholder Meeting of the Company.

ESPI 45/2019 Communication of the Operating Department of the National Depository of Securities regarding the registration of series C shares

The Board of Directors of IMS S.A. (“Company”) informs that today it received the communication of the Operating Department of Krajowy Depozyt Papierów Wartościowych S.A.  (KDPW, the National Depository of Securities) which informs that in line with KDPW decision No. 765/2019 of 20 September 2019 500,500 (five hundred thousand five hundred) series C ordinary bearer shares of IMS S.A. of the nominal value of PLN 0.02 (two grosz) each shall be registered and indicated with PLINTMS00019 indicator on 4 October 2019.

ESPI 44/2019 Resolution of the Warsaw Stock Exchange (WSE) regarding the admission and introduction to exchange trading of series C ordinary bearer shares

The Board of Directors of IMS S.A. (“Company”) informs that on 1 October 2019 the Board of Directors of the Warsaw Stock Exchange adopted Resolution No. 1038/2019 regarding the admission and introduction to exchange trading on the WSE Main List of series C ordinary bearer shares of the Company (“Resolution”).

The wording of the Resolution indicates that the Board of Directors of the Stock Exchange:
– admitted to exchange trading on the parallel market 500,500 (five hundred thousand five hundred) series C ordinary bearer shares of the Company of the nominal value of PLN 0.02 (two grosz) each,

– decided to introduce into exchange trading on the parallel market as of 4 October 2019 the Company’s shares described above on condition that Krajowy Depozyt Papierów Wartościowych S.A. (the National Depository of Securities) registers these shares and identifies them with „PLINTMS00019” identifier on 4 October 2019.

The above mentioned series C shares were issued by the Company under “Incentive Scheme III for years 2018-2020” and  were covered by beneficiaries of the Scheme on 5 and 18 June 2019. The shares are subject to lock-up for the period of 12 months of the date of their covering.
